Effective Date: July 1, 2025<\/em><\/p>\n\n These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and SYNCSWIM PRESENTS LLC (“Showcard,” “we,” “us,” or “our”), the operator of showcard.fm. By creating an account or accessing the Showcard platform, you agree to be bound by these Terms. If you do not agree, do not use Showcard.<\/p>\n\n Showcard is a subscription-based electronic press kit (EPK) platform that enables musicians and artists to build, publish, and share professional online press kits. Each subscriber receives a hosted public-facing page at a unique URL under showcard.fm. Visitors to those pages may view artist content (biography, music, photos, videos, upcoming shows, and press materials) and, where enabled by the subscriber, submit a contact inquiry.<\/p>\n\n You must be at least 18 years of age and legally capable of entering into binding contracts under applicable law to create a subscriber account. By registering, you represent and warrant that you meet these requirements and that you are located in the United States or that your use is otherwise lawful under applicable law.<\/p>\n\n To access subscriber features you must register for an account by providing a valid email address, an artist name, and a password. You agree to provide accurate, current, and complete information and to update it promptly if it changes. You are solely responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at legal@showcard.fm<\/a> if you suspect unauthorized use of your account.<\/p>\n\n Showcard offers monthly and annual subscription plans. Current pricing is displayed on our website at the time of purchase.<\/p>\n\n New subscribers receive a 14-day free trial. No charge is applied during the trial period. At the end of the trial, your subscription automatically converts to a paid plan using the payment method you provided at registration. You may cancel at any time before the trial period ends to avoid being charged.<\/p>\n\n All subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) until canceled. You authorize us to charge the payment method on file for each renewal period.<\/p>\n\n Payments are processed by Stripe, Inc.<\/a> By providing payment information, you also agree to Stripe’s Terms of Service<\/a>. We do not store your full payment card details on our servers.<\/p>\n\n All subscription fees are non-refundable. We do not provide refunds or credits for partial billing periods, unused time, or downgraded plans. If you cancel your subscription, you will retain access to paid features through the end of your current billing period.<\/p>\n\n You may cancel your subscription at any time through your account dashboard or by contacting us at legal@showcard.fm<\/a>. Cancellation takes effect at the end of the then-current billing period.<\/p>\n\n We reserve the right to change subscription pricing. We will provide at least 30 days’ advance notice of any price increase via email. Continued use of the platform after the price change takes effect constitutes your acceptance of the new pricing.<\/p>\n\n You retain ownership of all content you upload, publish, or display through your EPK (“User Content”), including but not limited to photographs, audio files, videos, biographical text, and press materials.<\/p>\n\n By uploading or publishing User Content on Showcard, you grant SYNCSWIM PRESENTS LLC a non-exclusive, royalty-free, worldwide license to host, store, display, reproduce, and transmit your User Content solely for the purpose of operating and providing the Showcard platform to you and visitors of your EPK page. This license terminates when you delete the relevant content or close your account.<\/p>\n\n You represent and warrant that: (a) you own or have the necessary rights, licenses, and permissions to upload and display all User Content; (b) your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party; and (c) you have obtained any necessary permissions to use and display all photographs, recordings, likenesses, and other third-party materials included in your User Content.<\/p>\n\n Showcard is not responsible for, and expressly disclaims all liability arising from, any User Content that infringes third-party intellectual property or other rights. You are solely responsible for ensuring that all content you upload complies with applicable law. We reserve the right to remove content that we determine, in our sole discretion, violates these Terms or applicable law.<\/p>\n\n All software, design, text, graphics, logos, and other materials comprising the Showcard platform (excluding User Content) are owned by SYNCSWIM PRESENTS LLC or its licensors and are protected by applicable intellectual property laws. You may not reproduce, copy, or create derivative works from any Showcard platform materials without our express written consent.<\/p>\n\n You agree not to use Showcard to:<\/p>\n\n For a full description of prohibited content and conduct, please review our Acceptable Use Policy<\/a>.<\/p>\n\n Subscribers may enable a contact form on their EPK page. When a visitor submits an inquiry, their email address and message are stored on our servers and forwarded to the subscriber’s designated booking email address. Subsequent communications between subscribers and their contacts may occur via email or other channels outside the Showcard platform; those communications are not monitored or stored by Showcard. Visitors who submit contact inquiries acknowledge that their email address and message will be shared with the applicable subscriber.<\/p>\n\n Showcard integrates with third-party services to provide platform functionality, including:<\/p>\n\n Your use of the platform is subject to the applicable terms and privacy policies of those third-party providers. We are not responsible for the practices of any third-party service.<\/p>\n\n THE SHOWCARD PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.<\/p>\n\n TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYNCSWIM PRESENTS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED DOLLARS ($100).<\/p>\n\n You agree to indemnify, defend, and hold harmless SYNCSWIM PRESENTS LLC and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your access to or use of the platform; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.<\/p>\n\n You may terminate your account at any time by canceling your subscription and deleting your account. Upon termination, your EPK will be taken offline and your data will be deleted in accordance with our Privacy Policy<\/a>.<\/p>\n\n We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine violates these Terms, is harmful to other users, us, or third parties, or for any other reason in our sole discretion. No refund will be issued upon termination for cause.<\/p>\n\n These Terms are governed by the laws of the State of Illinois without regard to its conflict of law provisions. Any dispute arising under or relating to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the state and federal courts located in Sangamon County, Illinois. You waive any objection to the laying of venue in such courts.<\/p>\n\n We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Your continued use of Showcard after the effective date of any updated Terms constitutes your acceptance of the changes.<\/p>\n\n If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision. These Terms, together with our Privacy Policy<\/a>, Cookie Policy<\/a>, and Acceptable Use Policy<\/a>, constitute the entire agreement between you and SYNCSWIM PRESENTS LLC with respect to the platform.<\/p>\n\n1.
